16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution: Before filing a claim, you agree to contact us at support@engagework.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Delaware or another mutually agreed location.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights.

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or technical failures.
