Terms of Service

1. Eligibility

To use Engage Work, you must be at least 16 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Note: If you are under 18 years old, parental or guardian supervision is recommended when using AI-powered features.

2. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or use

Engage Work is not liable for any loss or damage arising from your failure to comply with the above requirements.

3. Use of Services

You agree to use Engage Work only for lawful purposes and in accordance with these Terms. You must not:

• Copy, modify, or create derivative works of our Services
• Reverse-engineer, decompile, or disassemble any part of our software
• Use our Services to send spam, abuse, harassment, or illegal content
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to generate content that violates laws or third-party rights
• Attempt to manipulate, jailbreak, or circumvent AI safety features

We reserve the right to suspend or terminate your account if we suspect misuse or violation of these Terms.

4. AI-Powered Features and Limitations

Engage Work incorporates artificial intelligence technology. By using AI-powered features, you acknowledge and agree that:

• AI-Generated Content: AI responses are generated by machine learning models and may contain errors, inaccuracies, or biases. You should verify important information independently.
• No Professional Advice: AI-generated content does not constitute professional, legal, medical, financial, or other specialized advice. Always consult qualified professionals for important decisions.
• Training and Improvement: Interactions with AI features may be used to improve our Services, subject to our Privacy Policy.
• Content Responsibility: You are responsible for reviewing and validating AI-generated content before using it for any purpose.
• No Guarantees: We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content for any particular purpose.

5. Mobile Application and Platform Policies

5.1 Distribution Platforms

When you download or use our mobile application through third-party platforms such as Google Play Store or Apple App Store, you agree to comply with the applicable platform's terms and policies, including but not limited to:

• Google Play Developer Distribution Agreement
• Google Play Developer Program Policies
• Apple App Store Review Guidelines

In the event of any conflict between these Terms and the applicable platform's terms, the platform's terms shall prevail with respect to your use of the application through that platform.

5.2 Platform Payments

All payments, subscriptions, and in-app purchases made through Google Play or other distribution platforms are subject to those platforms' payment terms and policies. We do not have access to or control over your payment information provided to these platforms.

5.3 Mobile Permissions

Our mobile application may request access to certain device features and data, including but not limited to:

• Internet connectivity
• Storage (for caching and offline features)
• Notifications
• Camera/Photos (if applicable)

You can manage these permissions through your device settings. Some features may not function properly if permissions are denied.

6. Intellectual Property

All content, software, trademarks, and other materials provided through Engage Work are the property of Engage Work or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business or personal use, in accordance with these Terms.

7. User Content

You may upload, submit, or share content ("User Content") through Engage Work. By doing so, you grant Engage Work a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, and display such content as necessary to provide and improve the Services.

You retain ownership of your User Content but are solely responsible for it. You agree not to submit content that:

• Violates any law or regulation
• Infringes third-party intellectual property or privacy rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, or promotes violence or illegal activities
• Violates these Terms or our acceptable use policies

8. Payment and Subscription

8.1 Fees and Billing

If you purchase a paid plan or subscription:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are charged in advance on a recurring basis (monthly, annually, etc.)
• You authorize us or our payment processor to charge your payment method
• Engage Work may modify pricing with at least 30 days' notice prior to renewal

8.2 Subscriptions and Renewals

• Subscriptions renew automatically unless canceled before the renewal date
• You can cancel your subscription at any time through your account settings or the applicable platform (e.g., Google Play subscriptions)
• Cancellation will be effective at the end of the current billing period

8.3 Refunds

For purchases made through our website or platform:

• Payments are generally non-refundable except where required by applicable law
• We may, at our sole discretion, offer refunds on a case-by-case basis within 14 days of purchase

For purchases made through Google Play Store:

• Refunds are subject to Google Play's refund policies
• You may request a refund directly through Google Play within the timeframe specified by Google
• We will honor all refund requests approved by Google Play

For purchases made through Apple App Store:

• Refunds are subject to Apple's refund policies
• Contact Apple Support directly for refund requests

8.4 Free Trials

• Free trials may be offered at our discretion
• You may be required to provide payment information to start a free trial
• You will be charged automatically when the trial period ends unless you cancel
• Each user is eligible for one free trial per subscription type

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which complies with:

• General Data Protection Regulation (GDPR) for users in the European Economic Area
• California Consumer Privacy Act (CCPA) for California residents
• Other applicable data protection laws

By using our Services, you consent to our data practices as described in our Privacy Policy.

10. Third-Party Services

Engage Work may integrate or link to third-party applications or services. We are not responsible for the content, policies, or actions of third-party providers. Your use of any third-party service is at your own risk and subject to that provider's terms and policies.

11. Termination

11.1 Your Right to Terminate

You may stop using Engage Work at any time and may delete your account through account settings or by contacting support.

11.2 Our Right to Terminate

We may suspend or terminate your account or access to the Services if:

• You violate these Terms
• We believe it's necessary to protect our systems, other users, or legal rights
• We discontinue the Services (with reasonable notice when possible)
• Required by law or legal process

11.3 Effect of Termination

Upon termination:

• Your right to use the Services will immediately end
• We may delete your account and User Content (subject to our data retention obligations)
• Sections relating to intellectual property, liability, indemnification, and dispute resolution will survive
• You remain responsible for any fees incurred before termination

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ENGAGE WORK MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING:

• The availability, reliability, accuracy, or quality of the Services
• That the Services will meet your specific requirements or expectations
• That the Services will be uninterrupted, secure, or error-free
• The accuracy or reliability of AI-generated content

USE OF THE SERVICES IS AT YOUR OWN RISK.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, ENGAGE WORK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Lost profits or revenue
• Loss of data or content
• Service interruptions or downtime
• Business interruption
• Damages arising from AI-generated content errors or inaccuracies
• Any other damages resulting from your use or inability to use the Services

13.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• The amount you paid to Engage Work in the six (6) months preceding the claim, or
• One hundred US dollars ($100)

13.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Engage Work, its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your infringement of any third-party rights
• Your violation of any applicable laws or regulations

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.

15.1 Notice of Changes

If we make material changes, we will notify you by:

• Email to the address associated with your account
• In-app notification or banner
• Posting a notice on our website

15.2 Acceptance of Changes

• Continued use of the Services after changes become effective constitutes your acceptance of the updated Terms
• If you do not agree to the updated Terms, you must stop using the Services
• For material changes, we will provide at least 30 days' notice before they take effect

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Note: If you are located in the European Union, you may also have rights under EU law. If you are located in California, you may have additional rights under California law.

16.2 Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at support@engagework.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Delaware or another mutually agreed location.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights.

16.3 Class Action Waiver

YOU AND ENGAGE WORK AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16.4 Jurisdiction

For any disputes not subject to arbitration, you agree to submit to the personal jurisdiction of the state and federal courts located in Delaware, United States.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Engage Work.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or technical failures.

17.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations.
